By doing any of those things you confirm that you have read and accepted these terms.

If you do not accept these terms, please do not use the website and speak with a member of the showroom before entering into any service. Nothing in these terms limits a right that the law gives you and that cannot lawfully be excluded.

These terms apply together with the Privacy Policy published on this website. Where the two documents refer to the same subject, the Privacy Policy governs how information is handled and these terms govern the commercial relationship.

3. Who we are

Rsa Appliances Inc. is an appliance showroom and systems design business operating in the professional, scientific and technical services sector, with a focus on computer integrated systems design. The Company operates from a single address, which is 3345 Michaud Ave, Mississauga - L4T 1P9, Canada (CA). The Company can be reached by email at memo@rsaappliances.mom and by telephone at +18108193703.

All Services are organised from the Showroom at that address. The Company does not operate a separate warehouse counter, a third party pickup desk or an unstaffed depot. A delivery may travel to a Customer address, but the records, the decisions and the accountability remain at the Showroom.

4. Eligibility and authority

You must be at least the age of majority in your province or territory to enter into a contract for the Services. If you are acting for a household, a business or another person, you confirm that you have authority to bind that party to these terms and to give the instructions that the Services require.

Where a Customer is a business, the individual placing an order confirms that the business has authorised the order and that the delivery details provided are correct. The Company may ask for reasonable evidence of authority before releasing a Unit or scheduling a Delivery Run.

The Website is intended for use in Canada. If you access it from another country, you are responsible for complying with local law, and the Company makes no representation that the Services are available or appropriate in your location.

5. Use of the website

The Website is provided as a source of information about the Showroom and the Services. You may read the pages, follow the links and use the contact form to prepare a message. You may print or save a copy of a page for your own reference.

You agree not to copy the Website in bulk, to scrape it systematically, to interfere with its operation, to attempt to gain unauthorised access to any system, or to use it in a way that burdens the hosting provider. Automated collection of the pages is not permitted without written agreement from the Company.

The Company may change, suspend or withdraw any part of the Website at any time and without notice. The Company does not guarantee that the Website will be available continuously or that it will be free of errors. Information on the Website is provided for general guidance and is not a substitute for the Floor Tag or the Service Sheet for a specific Unit.

6. Showroom visits

The Showroom is open during the hours published on the contact page. Hours may change on public holidays and during maintenance, and the Company will publish any change where it reasonably can.

Visitors are asked to treat the Showroom floor with care. Units are displayed on plinths of different heights and some are prepared for demonstration. You should not move a Unit, open sealed panels, or operate controls without the guidance of a member of staff. Children must remain with a parent or guardian at all times.

The Company may decline entry to a person who is behaving in a way that endangers staff or other visitors, who is evidently under the influence of a substance, or who refuses to follow a reasonable safety instruction. The Company may also close the Showroom early where a safety or security concern arises.

7. Services covered

The Services consist of six connected activities, each described on the services page of the Website. In summary, Floor Tag Bays issue and reissue the printed label for each displayed Unit. Service Sheet Runs maintain the written history of each Unit. Delivery Run Desks group stops into routes and confirm timing. Installation Windows set the agreed period for installation. Trade-In Review Rounds inspect older appliances and record an outcome. Showroom Tour Sittings provide a guided visit at a fixed pace.

A Customer may request any combination of the Services. Certain Services depend on others. For example, a Delivery Run is not released until an Installation Window has been agreed for every stop, and a Trade-In Review Round is normally scheduled ahead of the Delivery Run so that the outgoing and incoming Units are handled on the same visit.

The Company may decline a request where a Service cannot be provided safely, where the location is outside the area served by the Delivery Run Desks, or where the information provided is incomplete. Where a request is declined, the Company will explain the reason and, where possible, suggest an alternative.

8. Floor tags and pricing

Every Unit on the Showroom floor carries a Floor Tag stating the model, the condition recorded at intake, the warranty line that applies and a price. The Floor Tag is the primary reference for a displayed Unit and it takes precedence over any verbal statement, any printed advertisement and any description on the Website.

Prices are stated in Canadian dollars and are exclusive of applicable taxes unless the Floor Tag says otherwise. A price may change while a Unit remains on display, for example after a Trade-In Review Round or a change in condition. When a price changes, the Company withdraws the old Floor Tag and issues a new one before the Unit is offered again. A Customer who has already placed a confirmed order at the earlier price will not be charged more for that order unless the Customer agrees in writing.

The condition note on a Floor Tag describes the Unit as observed at the time of tagging. Where a Unit has been repaired, refurbished or cleaned, the relevant step is recorded on the Service Sheet and summarised on the Floor Tag. The Company does not describe a used Unit as new and does not remove a condition note to make a Unit appear newer than it is.

9. Service sheets and unit history

A Service Sheet records intake, any repair or cleaning, the tests performed before a Unit reached the floor and the date of each step. The Company prepares a Service Sheet for every Unit offered for sale and keeps it in route order so that it can be consulted on the floor.

A Customer may ask to see the Service Sheet for any Unit under consideration. Personal information belonging to another household is removed before the sheet is shown. A Customer who buys a Unit is offered a copy of the closed Service Sheet at the pickup counter or by email.

The Service Sheet is a factual record prepared in good faith. It is not a guarantee that a Unit will perform without fault in the future, and it does not extend the warranty line stated on the Floor Tag. Where a Customer believes that a Service Sheet contains an error, the Customer should notify the Company promptly so that the record can be reviewed.

10. Delivery runs

The Delivery Run Desks group stops by neighbourhood and by building access so that a route is efficient and predictable. A Stop is included in a run only after the Customer has confirmed an address, a contact number and an Installation Window. The Customer must tell the Company about any condition that affects access, such as stairs, a narrow doorway, a service elevator or a building booking.

The Company will make reasonable efforts to keep to the confirmed timing. Traffic, weather, building access problems and events outside the reasonable control of the Company may cause delay. Where a delay is significant, the desk will call the Customer using the details on file before the crew leaves the yard where possible, or as soon as practicable afterwards.

The Customer or an authorised representative aged at least the age of majority must be present to receive a delivery unless the Customer has agreed in advance to an unattended drop in a safe and accessible location. The Company will not leave a Unit in a place that appears unsafe or exposed to damage. Delivery is complete when the Unit is received at the agreed location or, where installation is included, when installation is complete and the Customer has seen the Unit running.

11. Installation windows

An Installation Window is an agreed period during which installation will take place. The Company prepares a Unit at the Showroom before the visit wherever this is possible, checking connections, clearances and levelling. The Customer is responsible for ensuring that the installation location is ready, that utilities are available and that the necessary clearances match the measurements provided.

The Customer must provide safe access to the installation location and must remove fragile items, clear the path and secure pets for the duration of the visit. Where a building requires a permit, a booking or a fee for a service elevator, the Customer is responsible for arranging it and for any associated cost unless the Company has agreed otherwise in writing.

Installation is not considered complete until the Customer has seen the Unit running in place and the Service Sheet has been updated. If installation reveals a problem that was not visible on the floor, the crew will stop and consult the desk before proceeding. Where additional parts or a return visit are required, the desk will explain the options and any additional cost before work continues.

12. Trade-in reviews

A Trade-In Review Round is a scheduled inspection of an older appliance. The Company examines age, condition and function and records the outcome on a review slip before discussing any figure. The review slip is filed with the relevant Service Sheet so that the history remains readable.

The Customer confirms that the appliance offered for a Trade-In Review Round belongs to the Customer and is free of any lien, loan or third party claim. The Customer must remove personal items and, where possible, disconnect the appliance before collection. The Company may decline to accept an appliance that is contaminated, unsafe to handle or subject to a recall that makes collection unlawful.

Where the Company agrees to collect an older appliance, the Customer transfers ownership of that appliance to the Company on collection. The Company may refurbish, resell or dispose of the appliance at its discretion. The Customer is told which outcome is expected when the review slip is issued, and any change to that outcome is communicated before collection.

13. Tour sittings

A Tour Sitting is booked in advance and gives a Customer a guided visit to the Showroom at a fixed pace. The Company will aim the sitting at the Services the Customer names, such as delivery planning, installation or a Trade-In Review Round.

Sittings are offered without obligation to purchase. Nothing said during a sitting creates a binding order unless the Customer places an order in the manner described in these terms. The Company may end a sitting early where a safety or conduct concern arises or where the Showroom must close unexpectedly.

A Customer who cannot attend a booked sitting should give notice as soon as possible. The Company will offer an alternative time where one is available. Where a sitting is part of a package that the Customer has paid for, the cancellation provisions in these terms apply.

14. Orders and payment

An order is accepted when the Company confirms it in writing, which may be by email or by a signed order slip at the pickup counter. Until confirmation is issued, a Unit remains available for sale to others.

Payment terms are stated at the time of order. The Company may require a deposit to reserve a Unit, to schedule a Delivery Run or to secure an Installation Window. Deposits are applied to the total price and are refundable except where these terms or the order confirmation state otherwise.

Payment may be made by the methods offered at the Showroom. The Company does not accept payment card details by email and will never ask a Customer to send such details in a message. A receipt is issued for every payment. Where the total price changes after an order is confirmed, for example because the Customer requests additional work, the change will be agreed in writing before it is charged.

15. Cancellation and rescheduling

A Customer may cancel an order or a scheduled Service by written notice to memo@rsaappliances.mom or by speaking directly with the pickup counter. The notice is effective when it is received.

Where a Delivery Run or Installation Window is cancelled with reasonable notice, the Company will refund a deposit except for any cost already incurred, such as a booked building access fee or a specially ordered part. Where a Customer cancels without reasonable notice and a crew has already been dispatched, the Company may charge a reasonable call-out fee, which will be explained in advance.

The Company may reschedule or cancel a Delivery Run or Installation Window where safety, weather or building access makes performance unreasonable. Where the Company cancels, it will offer the earliest available alternative and will not charge a rescheduling fee. Where performance becomes impossible for a reason outside the control of either party, either party may end the affected order, and amounts paid for work not performed will be refunded.

16. Returns and warranty

Returns of a Unit are governed by the warranty line stated on the Floor Tag and by applicable consumer protection law. A Customer should read the warranty line before confirming an order and should ask the pickup counter to explain any term that is unclear.

A Customer who believes that a Unit does not conform to its Floor Tag or Service Sheet should contact the Company promptly, describe the issue and, where asked, provide photographs or allow an inspection. The Company will investigate and, where a fault is confirmed, will repair, replace or refund as the warranty line and the law require.

Warranty coverage does not extend to damage caused by incorrect installation by a third party, misuse, neglect, unauthorised modification, power surges or ordinary wear. A return that is accepted may be subject to reasonable charges for collection or for restoring the Unit to the condition recorded at delivery, provided those charges are explained before they are applied.

17. Your responsibilities

The Services depend on accurate information from the Customer. You agree to provide correct contact details, a complete delivery address, accurate measurements and any access restriction that applies to your building. You agree to tell the Company promptly if any of those details change.

You agree to prepare the installation location, to provide safe access and to secure valuables and pets before a crew arrives. You agree not to ask a crew to carry out work that is unsafe, that requires a licensed trade the Company has not engaged, or that modifies the building in a way that requires consent from a landlord or a condominium corporation.

You agree to use the Website and the Services lawfully and not to submit false information, to impersonate another person or to interfere with the rights of another household. Where an order is placed for a business, you agree to keep the Company informed of any change in the authorised contact.

18. Intellectual property

The Website, its text, its layout, its styling and its recorded showroom illustrations are the property of Rsa Appliances Inc. or its licensors and are protected by copyright and other laws. The Company name and the showroom identity are protected marks.

You may view and print pages for your own reference and may quote brief passages with attribution. You may not reproduce the Website in substantial part, modify it, distribute it commercially or use its content to train a competing service without written permission.

The Customer keeps ownership of any material it sends to the Company, such as photographs of an installation space. The Customer grants the Company a limited licence to use that material for the purpose of providing the Services and keeping the associated records. The Company will not publish Customer material without permission.

19. Prohibited conduct

The following conduct is not permitted in connection with the Website or the Services.

  • Attempting to gain unauthorised access to any system, record or account.
  • Introducing malicious code or interfering with the availability of the Website.
  • Scraping or harvesting data from the Website without written agreement.
  • Using the contact form to send spam, chain messages or unlawful content.
  • Misrepresenting identity or authority when placing an order or requesting a Service.
  • Removing or altering a Floor Tag or a Service Sheet on the Showroom floor.
  • Recording staff or other visitors in the Showroom without their consent.
  • Treating staff or other visitors with threats, abuse or harassment.

The Company may refuse service, end a visit or cancel an order where prohibited conduct occurs. Where conduct causes loss, the Company may pursue any remedy available to it.

20. Disclaimers

The Website is provided on an as available basis. The Company does not warrant that the Website will be uninterrupted, error free or free of harmful components, or that any information on it is complete at the moment you read it. The Floor Tag, the Service Sheet and the signed order confirmation are the authoritative records for a specific Unit.

Guidance given during a Tour Sitting or in correspondence is offered in good faith to help a Customer decide. It is not a professional engineering opinion and it does not replace advice from a licensed tradesperson where installation requires one. The Company is not responsible for a decision taken on the basis of general guidance without a confirmed order.

Nothing in these terms excludes or limits a warranty, condition or right that applicable consumer law says may not be excluded or limited. Where a disclaimer conflicts with such a law, the law prevails and the disclaimer applies only to the extent that it lawfully can.

21. Limitation of liability

To the extent permitted by law, the Company is not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of business or loss of opportunity, arising from use of the Website or the Services. The Company is not liable for loss caused by a delay or failure outside its reasonable control.

To the extent permitted by law, the total liability of the Company for a claim connected with an order is limited to the amount paid by the Customer for the Unit or Service to which the claim relates. This limit does not apply to death or personal injury caused by negligence, to fraud, or to any liability that the law does not permit the Company to limit.

The Customer is responsible for insuring valuables and for protecting the installation area during a visit. The Company will take reasonable care while on a Customer property but is not an insurer of the property.

22. Indemnity

You agree to indemnify Rsa Appliances Inc. against reasonable losses, costs and expenses that arise from your breach of these terms, from information you provide that is false or misleading, or from your unlawful use of the Website or the Services.

This indemnity does not apply to the extent that a loss is caused by the negligence or wilful misconduct of the Company. Where a claim is made, the Company will tell you promptly and will allow you to participate in the defence to the extent that the law permits.

23. Privacy

Information provided in connection with these terms is handled in accordance with the Privacy Policy published on this Website. The Privacy Policy describes what is collected, why it is collected, how long it is kept and how a Customer can exercise privacy rights.

By using the Services you consent to the handling of information as described in the Privacy Policy. Where these terms and the Privacy Policy differ on a privacy matter, the Privacy Policy prevails. Questions about privacy should be sent to memo@rsaappliances.mom.

24. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict of law rules. The courts of Ontario have exclusive jurisdiction over a dispute arising from these terms, subject to any right that a consumer has to bring a claim in another forum.

The Showroom is located in Mississauga, Ontario, and the Services are organised from that location. Where a Customer lives elsewhere in Canada, the mandatory consumer protections of the Customer province may also apply and nothing in these terms removes them.

25. Dispute resolution

If a dispute arises, the parties will first try to resolve it by discussion. A Customer should contact the pickup counter or write to memo@rsaappliances.mom with a clear description of the issue and the outcome sought. The Company will acknowledge the message and propose a way forward within a reasonable time.

If discussion does not resolve the matter, the parties may agree to mediation before an independent mediator in Ontario. Mediation is voluntary and either party may decline it. If mediation is declined or does not succeed, either party may bring a claim in the courts identified in the previous section.

Nothing in this section prevents either party from seeking urgent relief from a court where that is necessary to protect a legal right or to prevent harm.

26. Changes to these terms

The Company may update these terms to reflect changes in the Services, the Showroom or the law. The version published on this page is the current version, and the effective date at the top of the page shows when it took effect.

Where a change is material, the Company will make reasonable efforts to tell Customers with an active order before the change takes effect. A change does not apply retrospectively to an order that was confirmed before the change was published unless the Customer agrees. If you continue to use the Website or the Services after a change takes effect, you accept the updated terms.

27. General provisions

These terms, together with the Privacy Policy and any signed order confirmation, form the entire agreement between the parties on their subject and replace any earlier discussion on the same subject. A statement made during a Tour Sitting does not add to the agreement unless it is recorded in a confirmed order.

If a provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force. The invalid provision is to be read down or replaced to the minimum extent necessary to make it enforceable while preserving its purpose.

A failure by the Company to enforce a provision is not a waiver of that provision. No waiver is effective unless it is in writing. The Company may assign its rights and obligations under these terms to a successor that continues the Showroom business, and will tell affected Customers if it does.

Headings are included for convenience only and do not affect interpretation. Words in the singular include the plural and words in the plural include the singular where the context allows. References to writing include email and a signed slip.
